Edward Jones Trust Company is a wholly owned subsidiary of the Jones Financial Companies, L.L.L.P. (Jones Financial). It is a separate entity from Edward Jones, a nationwide brokerage firm that is also a subsidiary of Jones Financial.
Edward Jones Trust Company's published fee schedule provides a listing of the fees and services for which it receives payment either as trustee or investment advisor. Edward Jones Trust Company may use Edward Jones or other affiliates to act as a broker-dealer for transactions or for other services. Payments for such services will be charged as an expense to the account and will not reduce the amount of fees payable to Edward Jones Trust Company.
Unless otherwise prescribed by state law, the financial advisor who assists with the administration of the account receives 35% of the fee Edward Jones Trust Company collects in its capacity as trustee or investment agent. Such assistance includes, but is not limited to, identification of clients in need of fiduciary services, collection of client and/or account information, collection of account assets and communication to clients. Regardless of the assistance that may be provided by the Edward Jones financial advisor, Edward Jones Trust Company remains solely responsible for the provision of fiduciary services for its accounts, including all administrative and investment decisions.
Financial advisors also may participate in a bonus program sponsored by Edward Jones that will allocate $0.54 for every $1,000 under Edward Jones Trust Company management. The allocation may be used toward incentives including, but not limited to, production awards and trips.
The compensation paid to the financial advisor with respect to Edward Jones Trust Company may be adjusted from time to time. In addition, Edward Jones Trust Company may reimburse Edward Jones for some or all of the compensation paid to the financial advisor. Any payments for the benefit of the Edward Jones financial advisor with respect to Edward Jones Trust Company will not result in increased charges to the account.
Mutual Fund Fee Information
When acting as trustee or in other fiduciary capacities, Edward Jones Trust Company may, from time to time, hold or invest clients' assets in mutual funds, money market funds, annuities or other pooled investments. Such funds, including the portfolio interests associated with annuities and other investments, are generally bought and sold at net asset value, resulting in no direct sales charge to the account. The fund management companies and their affiliates engaged in advising, operating and distributing such funds or investments receive various commissions or fees for their services as described in the respective funds' prospectuses, and such commissions or fees are separate from and do not affect the fees due to Edward Jones Trust Company.
A portion of such fees received by the fund management companies and their affiliates may, in turn, be paid to Edward Jones Trust Company or to the Edward Jones brokerage firm or another affiliate for administrative, record-keeping or shareholder services as and to the extent authorized by Rule 12b-1 under the Investment Company Act of 1940, as amended, or otherwise approved by the fund and its directors. Generally such fees (known as "12b-1 fees") are, in the aggregate, less than 1.00% of average annual share value of fund shares held in Edward Jones Trust Company accounts. To the extent such 12b-1 fees arise from assets held by Edward Jones Trust Company, they are retained by or credited to Edward Jones Trust Company or its affiliates and do not reduce the amount of fees payable by the accounts holding investments. Specific information concerning the basis upon which a fund’s 12b-1 fees are calculated is set forth in the fund's prospectus relating to the mutual fund or pooled investment.
Based upon its review and assessment of mutual fund management companies, the Trust Investment Committee of Edward Jones Trust Company maintains a list of permitted mutual fund holdings for trust and other accounts, over which the Edward Jones Trust Company exercises investment discretion. Such list includes, but is not limited to, the mutual funds that are included on the list of "preferred fund families" maintained by the Edward Jones brokerage firm. A significant portion of the mutual fund assets held for client accounts at Edward Jones Trust Company are invested in mutual funds that are included within the preferred fund families designated by Edward Jones.
The Edward Jones brokerage firm exclusively promotes the mutual funds within the preferred fund families and receives, in addition to the 12b-1 and related service fees discussed above, payments known as "revenue sharing" representing payments made not by the mutual fund but by its management company or its distribution company. These revenue sharing payments also may be received from the management or distribution companies of mutual funds not included in the preferred fund families. Such revenue sharing payments may be based on the average asset value, as is the case with the 12b-1 fees, or based on sales of fund shares during applicable periods. As a result of such payments, Edward Jones and its representatives and affiliates, including Edward Jones Trust Company, may have an incentive to choose or recommend investments in mutual funds that are members of the preferred fund families. In addition to fees paid to Edward Jones Trust Company and its affiliates, mutual fund management companies and distributors for the preferred fund families and other funds may compensate Edward Jones and its affiliates for training and education seminars for personnel, clients and potential clients. Such activities may take place in connection with "due diligence" meetings regarding the funds, recreational activities and recognition events. Employees of Edward Jones Trust Company or its affiliates may receive noncash items or benefits from such activities. The activities may provide opportunities for employees of such management companies or distributors to speak to or interact with Edward Jones or Edward Jones Trust Company personnel.
Neither Edward Jones Trust Company nor any of its affiliates provides, directly or indirectly, investment advisory services or investment management services to mutual funds, pooled investments or their affiliates.
